RIBA CPD Providers Network Roadshows 2012
Terms and conditions
“RIBAE” shall mean RIBA Enterprises Limited, registered office 15 Bonhill Street, London EC2P 2EA registered in England 978271.
“Provider” shall mean the RIBA CPD Network Provider entering into this Agreement and which must at all material times be an approved member of the RIBA CPD Providers Network.
“Reservation” shall mean a reservation of a space or spaces at a RIBA CPD Roadshow or Roadshows.
- Participating Providers must at all times be bound by the RIBA CPD Providers Network terms and conditions.
- Once a reservation at one or more RIBA Roadshow events is accepted by RIBA Enterprises by sending its written RIBA CPD Roadshows ‘Order Acknowledgement Form’ (and not before), the Provider’s reservation constitutes a binding contract which is in all respects subject to these terms and conditions. RIBA Enterprises reserves the right at all times and in its absolute discretion not to accept reservations from a prospective Provider.
- Participating Providers must have at least one current RIBA Enterprises Approved CPD seminar presentation available for delivery at least 12 weeks prior to any roadshow event date. Time shall be of the essence in respect of the Provider’s obligation. Should this presentation not be available by this time, then RIBA Enterprises reserves the right to terminate this contract with immediate effect and in that event all sums in respect of the Provider’s reservations shall be payable immediately.
- All audio-visual equipment will be provided by RIBA Enterprises. All requests for technical audio-visual equipment must be received by RIBA Enterprises no later than two weeks before each roadshow event. However, RIBA Enterprises does not guarantee being able to provide the audio visual equipment as requested by the Provider and shall not be in any way responsible for meeting the Provider’s expressed requirements. Inability by RIBA Enterprises to provide the audio-visual equipment requested by the Provider shall not entitle the Provider to cancel the booking or to any adjustment to the price payable to RIBA Enterprises in respect of that event.
- Where reasonably possible, RIBA Enterprises will endeavour to allocate space in a prominent area for the Provider to display promotional material.
- RIBA Enterprises reserves the right to cancel any roadshow event or events and any connected reservation with immediate notice and in such circumstances only the Provider shall be entitled to a refund of the price payable to RIBA Enterprises in respect of that cancelled event(s) only.
- RIBA Enterprises does not accept any responsibility for the loss, theft or damage of any property belonging to or under the control of the Provider.
- All roadshow event reservations made will be invoiced in full in January of each year or, in the case of reservations made later in the calendar year, on the issuing of the Order Acknowledgment Form. The Provider shall make payment in full within 30 days of the invoice date. Failure by the Provider to pay the invoice within the 30 days (time being of the essence) shall entitle RIBA Enterprises to terminate the contract immediately on written notice whereupon the Provider will remain fully liable for the payment of all invoices in respect of the contract.
- In the event of a cancellation, there shall be no entitlement to refunds for cancellations. Should the cancelled reservation(s) affect the discounted reservation band and rates, such that a higher price would apply to the remaining booked reservations had they just been booked, then a pricing adjustment will be made with respect to the remaining reservations and any outstanding balance due to RIBA Enterprises shall become due and will be invoiced and payable within 30 days.
- RIBA Enterprises cannot and does not guarantee delegate numbers.
- RIBA Enterprises shall not be liable in respect of any event of default for loss of profits, goodwill or any type of special indirect or consequential loss including loss or damage suffered by the Provider as a result of any action brought by a third party even if such loss was reasonably foreseeable or that RIBA Enterprises had been advised of the possibility of the Provider incurring the same. All warranties are hereby excluded to the fullest extent permitted by law and to the extent that RIBA Enterprises is found to be liable in damages for breach of contract (however caused) then RIBA Enterprises total aggregate liability shall not in any circumstances exceed the Price paid by the Provider under this contract in respect of the particular roadshow event in relation to which the loss in question results.
- Nothing in this contract excludes or limits the liability of RIBA Enterprises for fraudulent misrepresentation or for death or personal injury caused by RIBA Enterprises negligence.
- If any part of these terms and conditions is held by a court of competent jurisdiction to be unenforceable the validity of the remainder of these terms and conditions will not be affected.
- This contract forms the entire agreement between the parties on its subject matter and supersedes all previous contracts, arrangements, representations (other than fraudulent misrepresentations) or understandings between RIBA Enterprises and the Provider, in each case, whether written, arising from custom or oral.
- These terms and conditions and all other express terms of the contract shall be governed and construed in accordance with the laws of England.
